Letter from the CEO

As announced by both companies, on March 8, 2006 IP Infusion became a wholly-owned, independent subsidiary of ACCESS Co., Ltd., a leading Japanese Software company.

This new relationship with ACCESS comes at a strategic turning point for both companies. Last year IP Infusion had the most customer wins and its highest revenues in the company’s history. IP Infusion’s three-pronged strategy – carrier grade protocols, turnkey metro Ethernet and home networking - will enable ACCESS to be the industry leader across all tiers of the networking and consumer handheld device markets.

ACCESS has tremendous respect for the core business of IP Infusion, invented by co-founder Ishiguro Kunihiro, and developed in large part by co-founder Yoshinari Yoshikawa. ACCESS supports IP Infusion continuing to dominate in the source code modular routing and switching business, as well as IP Infusion’s emergence in the Metro Ethernet turnkey market, executed by current management. ACCESS’ decision to run IP Infusion as an independent, wholly owned subsidiary demonstrates the support for IP Infusion’s current direction.

The combination is strategic for ACCESS as ACCESS requires the expertise of IP Infusion and specifically Mr. Ishiguro and his team to continue to dominate the IP based networking world. The financial backing of ACCESS, with a market cap in Japan of over $3bn, gives IP Infusion resources, backing and stability lacking to IP Infusion’s competitors in all of these markets.

At this turning point and given the new relationship, I am transitioning from IP Infusion after a very rewarding tenure. Mr. Yoshikawa has been appointed as the President and Chief Operating Officer and will be executing all the daily functions of such positions. He looks forward to connecting personally with you as IP Infusion continues on its path or providing the best carrier grade networking software in the market.
